Engagement Agreement

To reiterate, CHILMARK ADVISORS, INC. has developed a methodology in which we unbundle board and C-suite search processes by creating custom strategies that successfully generate interviews. We are neither a contingency nor a retained search firm and we never charge per board and C-suite appointment. Any information that you send to us will remain in the strictest of confidence and will never be disseminated to third parties, except company contacts, of whom you have approved, for the purposes of attaining a paid board seat or C-suite position.

CHILMARK ADVISORS, INC. will take the following steps to assist you with your search:

  1. The Team Leader and Strategist will discuss your board/C-suite objective, geographical preferences and salary requirements. The Strategist will then offer strategic advice on the types of companies, to which you could target your search, in order to generate the most interest.
  2. CHILMARK ADVISORS, INC. will review your resume, cover letter, memos and other written communications that you are using and then design the most effective presentation possible. The cover note and resume, that CHILMARK ADVISORS will design, will tailor your professional skills to your target list of companies, illustrate your work and/or board governance experience and accomplishments and communicate how your skills will benefit the target company’s business and/or board needs.
  3. CHILMARK ADVISORS, INC. will generate a list of between 250-500 target companies, the parameters of which will be defined in your strategy session. You will be asked to review and approve the target list before we begin researching decision makers and contact information.
  4. The Researcher, assigned to your search, will call each target company and ascertain the decision maker, their name, title, address, company phone number and email address or fax number, as well as additional information that may be gathered during the calls.

CHILMARK ADVISORS, INC. will deliver your resumes to the appropriate decision makers and copy you on all correspondence.

CHILMARK ADVISORS, INC. will follow-up with decision makers, on your behalf and provide you with personal coaching and support during the interview process.

CHILMARK ADVISORS, INC. can’t guarantee your being invited to interviews, receiving offers of employment or board nominations, although we will continue to generate contacts for you, for up to 24 months or until you reach your board appointment or C-suite objective. Target/contact generation is discontinued only when you accept a board seat or C-suite appointment, decide to discontinue using the program, fail to communicate with us for a period of sixty days or if 24 months have passed.

The cost of the program is $3,600, payable at the beginning of the engagement. Payment is nonrefundable and will constitute your understanding and agreement of these services and terms. This agreement is made in the city of Boston, in the Commonwealth of Massachusetts and shall be governed by the laws of the State. The parties agree that all litigation, arising out of this contract, shall be brought solely to the Circuit Court of the Commonwealth of Massachusetts.
